Terms of Service
Effective Date: January 30, 2026
Please read these Terms of Service (the "Terms") carefully because they govern your use of Oqlous AI Private Limited's ("SuperManager AGI," "Oqlous," "our," or "we") autonomous project management platform and decision intelligence services accessible via our website located at www.supermanageragi.com ("Site") and our web application ("App"), that enables the access and use of:
- AGI Managers - Autonomous artificial general intelligence systems that perform project management functions including Decision AGI, Operations AGI, Strategy AGI, and Intelligence AGI;
- Decision Intelligence - Business event detection, decision trace protection, and autonomous decision-making capabilities;
- Project Management Automation - Sprint planning, resource optimization, risk prediction, daily operations, meeting intelligence, and stakeholder communication;
- Integration Services - Connections to enterprise tools including Jira, Slack, Microsoft Teams, Confluence, GitHub, and 50+ other platforms; and
- Other services made available via the Site or App from time to time.
To make these Terms easier to read, the Site, our services (including but not limited to AGI Managers, decision intelligence, project automation, and integrations) and App are collectively called the "Services."
AGREEMENT TO TERMS
By using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, the use of the Services is not permitted.
If you are accessing and/or using the Services on behalf of any company, organization, or any association of individuals, such as a partnership or unincorporated business entity, which may include your employer ("Organization") or any other legal entity, you represent and warrant that you have the authority to bind such Organization or other legal entity to these Terms. In such cases, "you" and "your" will refer to that company or other legal entity.
Important: By using SuperManager AGI, you authorize our autonomous AGI managers to access your integrated tools (email, project management systems, communication platforms, etc.) and make decisions on your behalf according to the permissions you grant. You remain responsible for all actions taken by AGI managers under your Account.
CHANGES TO TERMS OR SERVICES
In our sole discretion, we reserve the right to modify the Terms at any time. In case of any such modification, the updated and/or modified Terms shall be uploaded on the Site and the App.
For registered users, we shall provide notification via:
- Email to your registered email address
- In-app notification upon next login
- Banner notification on the Site
Notice Period: For material changes that affect your rights or obligations, we will provide at least 30 days' notice before the changes take effect.
Please review the modified Terms. Continued use of the Services after notification of the modified Terms indicates that you agree to be bound by such modified Terms. If you do not wish to be bound by the modified Terms, then you shall no longer use the Services.
Because our Services are evolving over time, keeping in connection with advancing AGI capabilities and enterprise project management needs, we reserve the right to change or discontinue all or any part of the Services, at any time and without prior notice, at our sole discretion. However, we will provide reasonable notice for discontinuation of core AGI Manager functionality.
WHO MAY USE THE SERVICES
Eligibility
You may use the Services only if you:
- Are eighteen (18) years or older, OR
- Are at least thirteen (13) years old and have parental/guardian consent, AND
- Are not barred from using the Services under applicable laws of the country from which you are accessing the Services, AND
- Are authorized by your Organization (if using an Organizational Account) to access project management systems and make decisions on behalf of projects
Enterprise Requirement: For Enterprise Use (defined below), you must be an authorized employee, contractor, or agent of an Organization with proper authority to bind that Organization to these Terms and grant AGI Managers access to organizational data.
Professional Use
SuperManager AGI is designed for professional project management use. By using the Services, you represent that:
- You have authority to make or delegate project management decisions
- You understand that AGI Managers will act autonomously within granted permissions
- You will use the Services in accordance with your organization's policies
- You will not use the Services for personal, non-professional projects unless using the Individual Plan
REGISTRATION AND YOUR INFORMATION
Account Creation
If you want to use the Services, you will be required to create an account ("Account"). You can do so via the Site or the App. During registration, you may need to provide:
- Full name and professional role (e.g., Project Manager, Engineering Manager)
- Valid professional email address
- Organization name and size
- Phone number (optional, for two-factor authentication)
- Payment information (for paid plans)
Account Security
You agree to:
- Keep your Account credentials accurate and up to date
- Not disclose your Account login credentials to anyone
- Use strong, unique passwords
- Enable two-factor authentication (required for Enterprise accounts)
- Notify us immediately at security@supermanageragi.com of any unauthorized use of your Account
You will be responsible for all activities that occur under your Account, whether or not you know about such usage, including all actions taken by AGI Managers you authorize.
Organizational Accounts
If you create an Account using your organization's email domain (an "Organizational Account"):
- Your organization's Administrators may have visibility into your Account activities
- Your organization may transfer control of your Account to them at any time
- Your organization may access all data associated with your Organizational Account
- Your organization's policies may restrict certain features or settings
USING THE SERVICES
Service Tiers
SuperManager AGI offers three distinct versions of the Services:
- Individual Use - For individual project managers or consultants managing personal projects. Includes basic AGI Manager functionality with limited integrations.
- Team Use - For teams of 3-10 project managers within an organization. Includes all AGI Managers with team collaboration features and expanded integrations.
- Enterprise Use - For organizations with 10+ project managers. Includes all AGI Managers, Admin Panel, custom integrations, dedicated support, and advanced security features.
Each tier is available on both a free trial basis and paid subscription basis.
AGI Manager Capabilities
As part of our Services, Account holders may access and utilize four specialized AGI Managers:
- Decision AGI: Detects 10 canonical business events from communications, classifies emails and messages for action obligation and business impact, normalizes client language into structured internal decisions, creates complete decision audit trails (Decision Trace Shield), manages event workspaces and approval workflows.
- Operations AGI: Auto-generates daily standup summaries from Slack, Teams, and email, converts meeting transcripts into Jira tickets with assignees and due dates, updates task status across all integrated platforms, detects blockers and risks from communications, sends automated stakeholder notifications.
- Strategy AGI: Plans sprints autonomously based on team velocity and capacity, grooms backlog with auto-generated acceptance criteria, optimizes resource allocation across team members, forecasts resource needs for upcoming work, balances workload when over/under-allocation detected.
- Intelligence AGI: Monitors 50+ risk indicators continuously, predicts project risks 2-3 weeks early, auto-generates risk mitigation plans with assigned tasks, tracks budget burn rate and alerts on overruns, provides executive dashboards and stakeholder reports.
Autonomous Operations
By using the Services, you explicitly authorize AGI Managers to:
- Read your emails, messages, and communications from integrated tools
- Create, update, and close tickets in your project management systems
- Assign tasks to team members based on capacity and skills
- Send notifications and updates to stakeholders on your behalf
- Generate documentation and reports from project data
- Make priority decisions based on predefined criteria
- Execute workflows and automations without human approval (where configured)
You retain the ability to:
- Set approval gates for high-impact decisions
- Override AGI Manager decisions at any time
- Configure which actions require human approval
- Disable or pause AGI Manager operations
- Access complete audit trails of all AGI actions
Integration Permissions
To function, SuperManager AGI requires integration with your existing tools. When you connect integrations, you grant SuperManager AGI permission to:
- Email Integration (Outlook, Gmail): Read all emails in specified folders or accounts, send emails on your behalf (with your configuration), access email attachments and metadata, detect business events from email content.
- Chat Integration (Slack, Microsoft Teams): Read messages in channels you specify, post automated summaries and reports, access message history for context, send direct messages for notifications.
- Project Management Integration (Jira, Linear, Azure DevOps, etc.): Read all tickets, epics, sprints, and project data, create new tickets after decision approval, update ticket status, assignees, and fields, access custom fields and workflows.
- Meeting Integration (Zoom, Microsoft Teams): Access meeting recordings and transcripts, extract action items and decisions, generate meeting minutes, create tasks from commitments made in meetings.
- Code Repository Integration (GitHub, GitLab, Bitbucket): Read commit history and pull requests, monitor code quality metrics, access repository activity, link commits to tickets.
- Documentation Integration (Confluence, Notion, SharePoint): Read existing documentation for context, create new pages and documents, update existing documentation, organize and tag content.
You can revoke these permissions at any time through your Account settings, but doing so may limit AGI Manager functionality.
ENTERPRISE USE
Organizational Accounts
For organizations that pay for the Enterprise Use version of the Services, SuperManager AGI allows each such organization's members to access and use the Services via an email account associated with such organization (an "Organizational Account").
Admin Panel
The Enterprise Use version of the Services includes an administration panel ("Admin Panel") that enables designated Account holders from an organization ("Administrators") to:
- View Activities: See all activities engaged in by Account holders from their organization who have logged into the Services through their Organizational Account
- Control Access: Manage which team members have access to which AGI Managers and features
- Manage Data: Organize and manage project data, decision traces, and business events submitted by Account holders
- Configure Permissions: Set approval gates, workflow rules, and integration permissions for the entire organization
- Access Decision Traces: View complete decision audit trails for all projects managed through Organizational Accounts
- Monitor AGI Actions: See all decisions made and actions taken by AGI Managers on behalf of Account holders
- Export Data: Download project data, decision traces, and audit logs for compliance purposes
Account Transition
Important Notice: If you are using the Individual Use or Team Use versions of the Services via an Account associated with your organization's email domain, and your organization later decides to purchase the Enterprise Use version of the Services:
- Information on all activities you have engaged in through the Services since the inception of your Account will be accessible to your organization's Administrators through the Admin Panel
- Your Account may be converted to an Organizational Account
- Your organization's policies and settings may override your individual settings
- Your organization may access all decision traces, business events, and project data from your Account
Privacy Notice: If you are an Account holder logging in to the Services through your Organizational Account, please be aware that your activities under such Account may not remain private from your organization's Administrators.
Data Ownership - Enterprise Accounts
For Enterprise Use:
- Your Organization owns all data created through Organizational Accounts
- Administrators control data retention and deletion
- SuperManager AGI acts as a data processor on behalf of your Organization
- Data Processing Agreements (DPA) available upon request
INDIVIDUAL CONSUMER USE
For our individual users and consultants:
Paid Features
From time to time, we may offer, and charge Account holders for, certain additional features within the Services, such as:
- Additional integrations beyond the free tier limit
- Extended decision trace retention (beyond 12 months)
- Advanced AGI customization and training
- Priority support and dedicated account management
- Custom API access and webhooks
- Higher usage limits and rate limits
Each such feature is a "Paid Feature." You agree to pay us the applicable fee(s) for any Paid Feature(s) that you purchase through the Services.
Free Trial
New users may access a free trial of Paid Features for 14 days. After the trial period:
- You will be automatically downgraded to the free tier unless you provide payment information
- No charges will be made without your explicit authorization
- You can upgrade to a paid plan at any time
PAYMENT
Subscription Fees
To the extent any portion of the Services is made available to you for a fee, you will be required to select a payment plan and provide SuperManager AGI with accurate information regarding your credit card or other payment instrument(s).
Available Plans:
- Starter Plan - $3,500/month: For teams with 1-2 project managers, Up to 3 active projects, 25 team members, All 4 AGI managers, Unlimited automation, Standard support.
- Professional Plan - $8,500/month: For teams with 3-5 project managers, Up to 10 active projects, 100 team members, Custom workflows, Priority support (4-hour response), Quarterly optimization reviews.
- Enterprise Plan - Custom Pricing: For organizations with 6+ PMs, Unlimited projects and team size, Dedicated AI training, White-glove onboarding, Custom integrations, 24/7 dedicated support, SLA guarantees.
Billing and Payment Terms
You agree to:
- Pay SuperManager AGI the amount specified in your selected payment plan
- Authorize SuperManager AGI to bill your payment instrument on a periodic basis (monthly or annually as selected)
- Promptly update your Account information with any changes in your payment information
- Pay all charges in accordance with the billing terms in effect at the time the charges are incurred
Billing Cycle: Subscriptions are billed in advance on a monthly or annual basis depending on your selected plan. Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date.
Non-Refund Policy
All amounts paid are non-refundable except:
- If you cancel within 30 days of initial purchase, you may receive a pro-rated refund
- If we fail to deliver the Services as described
- As required by applicable law
- Under our 90-Day Performance Guarantee (see Section 9 below)
Price Changes
We reserve the right to change our prices in the future. If we do change prices:
- We will provide notice of the change on the Site or App
- We will send an email to your registered email address at least 30 days before the change takes effect
- The price change will apply to your next billing cycle after the notice period
Your continued use of the Services after the price change goes into effect constitutes your agreement to pay the changed amount. If you do not agree to the price change, you may cancel your subscription before it takes effect.
Invoice Billing (Enterprise Only)
For Enterprise customers, SuperManager AGI may choose to bill through an invoice. In such cases:
- Full payment for invoices issued must be received within 30 days of invoice date
- Late payments are subject to a finance charge of 1.5% per month on any outstanding balance, or the maximum permitted by law, whichever is lower
- Unpaid invoices may result in Service suspension or termination
- Collection expenses will be added to outstanding balances
Disputes
If you dispute any charges:
- You must notify SuperManager AGI within 30 days after the date we invoice you or bill your payment instrument
- Email disputes to billing@supermanageragi.com with invoice number and reason for dispute
- We will investigate and respond within 15 business days
- Disputed amounts will not be subject to late fees during the investigation period
Taxes
You shall be responsible for all taxes associated with Services other than all applicable U.S. federal and state taxes based on SuperManager AGI's net income. This includes:
- Sales tax, use tax, VAT, or GST
- Withholding taxes (if applicable)
- Import duties or customs fees
If we are required to collect or pay taxes for which you are responsible, the appropriate amount shall be added to your invoice or charged to your payment instrument.
90-DAY PERFORMANCE GUARANTEE
Our Guarantee
SuperManager AGI guarantees that our Services will save at least one full-time project manager's worth of time (160 hours/month) within 90 days of deployment, or we'll refund 100% of your payment.
How to Claim
To claim a refund under this guarantee:
- Document Baseline: Provide evidence of PM time spent on tasks before SuperManager AGI (e.g., time tracking logs, project plans)
- Track AGI Performance: Use SuperManager AGI for at least 90 consecutive days with proper integration setup
- Submit Claim: Email guarantee@supermanageragi.com with:
- Time tracking data showing time saved (or not saved)
- Description of integrations configured
- Evidence that AGI Managers were properly utilized
- Review: We will review your claim within 15 business days and issue a refund if the guarantee conditions are not met
Guarantee Exclusions
This guarantee does NOT apply if:
- You failed to properly integrate required tools
- You disabled AGI Managers or restricted their permissions significantly
- You did not follow our implementation guidance
- Force majeure events prevented normal Service operation
- You are on the free tier or trial period
FEEDBACK
We welcome feedback, comments, and suggestions for improvements to the Services ("Feedback"). You can submit Feedback by:
- Emailing us at feedback@supermanageragi.com
- Using the in-app feedback widget
- Participating in user research sessions
- Joining our community forum
Ownership of Feedback
You agree that all Feedback will be the sole and exclusive property of SuperManager AGI and you hereby irrevocably assign to SuperManager AGI and agree to irrevocably assign to SuperManager AGI all of your right, title, and interest in and to all Feedback, including without limitation all worldwide patent rights, copyright rights, trade secret rights, and other proprietary or intellectual property rights therein.
At our request and expense, you'll execute documents and take such further acts as we may reasonably request to assist us to acquire, perfect, and maintain our intellectual property rights and other legal protections for the Feedback.
No Compensation
You acknowledge that you will not receive any compensation or attribution for Feedback, even if we incorporate it into our Services.
PRIVACY POLICY
Please refer to our Privacy Policy at [URL] for information on how we collect, use, and disclose information from our users, including:
- What project data AGI Managers access and process
- How decision traces are stored and protected
- Who can access your organizational data
- Your rights regarding your personal information
- How we comply with GDPR, CCPA, and other privacy laws
Your use of the Services is also subject to our Privacy Policy, which is incorporated into these Terms by reference.
CONTENT AND CONTENT RIGHTS
Definitions
For purposes of these Terms:
- "Content" means text, graphics, images, data, decision traces, business events, project information, meeting transcripts, code commits, documentation, and information or other materials that are posted, generated, provided, or otherwise made available through the Services.
- "User Content" means any Content that Account holders (including you) provide to be made available through the Services, including:
- Project data you upload or connect
- Business events detected from your communications
- Decision traces created from your approvals
- Meeting transcripts and notes
- Task information and assignments
- Team member data
- Custom configurations and workflows
- "AGI-Generated Content" means Content created autonomously by AGI Managers, including:
- Automated standup summaries
- Generated meeting minutes
- Risk predictions and mitigation plans
- Documentation auto-generated from project context
- Resource allocation recommendations
- Decision classifications and normalizations
Content includes without limitation User Content and AGI-Generated Content.
Content Ownership, Responsibility, and Removal
Your Ownership:
SuperManager AGI does not claim any ownership rights in any User Content that you make available through the Services. You retain all ownership rights to your project data, decision traces, and other User Content.
Our Ownership:
Subject to your ownership of User Content, SuperManager AGI and its licensors exclusively own all right, title, and interest in and to:
- The Services and platform technology
- AGI Manager algorithms and models
- Decision intelligence methodologies
- All associated intellectual property rights
Protected Content:
You acknowledge that the Services are protected by copyright, trademark, patent, and other laws of the United States and foreign countries. You agree not to:
- Remove, alter, or obscure any copyright, trademark, service mark, or other proprietary rights notices
- Reverse engineer or attempt to extract source code from AGI Managers
- Use the Services to create competing products or services
Rights in User Content Granted by You
By making any User Content available through Services, you hereby grant to SuperManager AGI a non-exclusive, worldwide, royalty-free, transferable license, with the right to grant sublicenses, to:
- Use your User Content to provide the Services to you
- Reproduce your User Content for backup, redundancy, and service delivery
- Modify your User Content to enable AGI Manager functionality (e.g., normalizing language, classifying decisions)
- Create derivative works based upon your User Content (e.g., generating summaries, predictions, recommendations)
- Process your User Content through AGI Managers to provide autonomous project management
- Store your User Content for the duration of your Account plus required retention periods
Important Limitations:
- This license is solely for the purpose of operating and providing the Services to you
- We will NOT use your specific User Content to train generalized AI models for other customers
- We will NOT share your User Content with other organizations (except as required by law or with your permission)
- We MAY use aggregated, anonymized patterns from User Content to improve AGI algorithms (without identifying your specific data)
Your Representations and Warranties
You are solely responsible for all your User Content. You represent and warrant that:
- You own all your User Content OR you have all rights necessary to grant us the license rights under these Terms
- Neither your User Content, nor your use and provision of your User Content, nor any use of your User Content by SuperManager AGI will:
- Infringe, misappropriate, or violate any third party's intellectual property rights, rights of publicity, or privacy
- Result in the violation of any applicable law or regulation
- Contain confidential information you're not authorized to share
- Include sensitive personal data without proper consent
- You have authority to grant SuperManager AGI access to integrated tools containing User Content
- You will comply with all applicable export control and data protection laws
Content Control and Removal
Your Control:
You are in control of your User Content, and you can:
- Remove your User Content at any time by specifically deleting it from your Account
- Disconnect integrations to stop new User Content from being accessed
- Export your User Content at any time
- Request deletion of your Account and all associated User Content (subject to legal retention requirements)
AGI-Generated Content:
Content generated by AGI Managers (e.g., summaries, predictions, recommendations) is based on your User Content but may be retained by SuperManager AGI as part of your Service history and for audit trail purposes, even after you delete underlying User Content.
Decision Traces:
Decision traces may be retained longer than other User Content for legal compliance, audit, and accountability purposes (up to 7 years per industry standards).
RIGHTS IN CONTENT GRANTED BY SUPERMANAGER AGI
License to Use Services
Subject to your compliance with these Terms and our policies (including our Acceptable Use Policy below), SuperManager AGI grants you a limited, non-exclusive, non-transferable, non-sublicensable license to:
- Access and use the Services
- View Content through the Services
- Use AGI-Generated Content for your internal business purposes
- Share AGI-Generated Content with your team members and stakeholders
- Export and use decision traces and audit logs for compliance purposes
Restrictions
This license does not permit you to:
- Use the Services for any purpose other than project management within your organization
- Share your Account credentials with unauthorized parties
- Use AGI-Generated Content to train competing AI systems
- Scrape, mine, or systematically extract data from the Services
- Access the Services through automated means without authorization (except via published APIs)
- Create derivative works based on the Services
- Remove or obscure any proprietary notices
Shared Content
When using Team Use or Enterprise Use, other authorized users within your organization may have access to your User Content and AGI-Generated Content, including rights to view, modify, and use such Content as permitted by the functionality of the Services and your organization's settings.
AGI MANAGER LIMITATIONS AND DISCLAIMERS
Autonomous Decision-Making
Important Notice: SuperManager AGI's AGI Managers make autonomous decisions based on the data they process and the permissions you grant. While we strive for accuracy and optimal decision-making, you acknowledge and agree that:
AGI Managers Are Not Infallible:
- AGI Managers may make incorrect classifications or recommendations
- Predicted risks may not materialize, or unpredicted risks may occur
- Resource allocation suggestions may not always be optimal
- Language normalization may occasionally misinterpret client communications
- Meeting transcripts may contain errors or miss nuances
Human Oversight Remains Important:
- You should review AGI Manager decisions, especially for high-impact actions
- You can set approval gates for critical decisions
- You remain ultimately responsible for project outcomes
- AGI Managers augment but do not replace human judgment
No Guarantee of Results:
- We do not guarantee that using SuperManager AGI will prevent project failures
- We do not guarantee specific time savings or cost reductions (except under our 90-Day Performance Guarantee with specific terms)
- We do not guarantee that all risks will be detected or all problems predicted
- Project success depends on many factors beyond AGI Manager control
Integration Dependencies
SuperManager AGI's functionality depends on integrations with third-party services (Jira, Slack, etc.). You acknowledge that:
- Service disruptions at integrated providers may affect AGI Manager performance
- Changes to third-party APIs may require time to adapt
- Some integrations may have usage limits or rate limits
- We are not responsible for issues caused by third-party service failures
Data Quality
AGI Manager performance depends on the quality and completeness of data from your integrated tools:
- Incomplete or inaccurate source data will result in suboptimal AGI decisions
- Insufficient historical data may limit prediction accuracy
- Sparse communication data may reduce business event detection effectiveness
Learning Period
AGI Managers require a learning period (typically 1-2 weeks) to understand your organization's workflows, communication patterns, and decision-making styles. Performance improves over time as AGI Managers learn from your specific context.
ACCEPTABLE USE POLICY
Permitted Uses
You may use the Services for:
- Managing enterprise IT projects and programs
- Coordinating engineering, product, or delivery teams
- Tracking project decisions and creating audit trails
- Optimizing resource allocation and capacity planning
- Predicting and mitigating project risks
- Automating routine project management tasks
- Generating project reports and documentation
Prohibited Uses
You agree NOT to use the Services to:
Illegal Activities:
- Violate any applicable local, state, national, or international law or regulation
- Engage in any activity that constitutes fraud, money laundering, or other criminal activity
- Facilitate illegal immigration, human trafficking, or other illicit activities
Harmful Content:
- Upload, post, or transmit content that is harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
- Promote violence, discrimination, or hatred against any individual or group
- Share content that exploits or harms minors in any way
- Distribute malware, viruses, or other malicious code
Intellectual Property Violations:
- Infringe or violate any patent, trademark, copyright, trade secret, or other intellectual property rights
- Use the Services to pirate or distribute copyrighted materials
- Claim ownership of Content created by others
System Abuse:
- Attempt to gain unauthorized access to the Services, AGI Managers, or other users' Accounts
- Interfere with or disrupt the Services or servers/networks connected to the Services
- Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of AGI Managers
- Use automated scripts, bots, or crawlers to access the Services (except through published APIs)
- Circumvent any technological measures designed to protect the Services
- Overload, spam, or flood the Services with excessive requests
Misrepresentation:
- Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity
- Forge headers or manipulate identifiers to disguise the origin of any content
- Create multiple Accounts to evade restrictions or bans
Competitive Use:
- Use the Services to develop, train, or improve competing products or services
- Benchmark the Services against competing products without written permission
- Use AGI-Generated Content to train AI models for competing services
Data Misuse:
- Use decision traces to harm, retaliate against, or unfairly discipline project managers or team members
- Access or attempt to access other organizations' data without authorization
- Export data for purposes other than your own business operations
- Share sensitive project data outside your organization without proper authorization
Enforcement
Upon obtaining knowledge about violations of this Acceptable Use Policy, we will:
- Act within 36 hours to investigate and address the violation
- Suspend or terminate access to the Services for violating Accounts
- Preserve information and records for at least 90 days for investigation purposes
- Cooperate with law enforcement authorities as required by law
- Notify affected parties if their data may have been compromised
We reserve the right to monitor use of the Services to ensure compliance with this policy, though we do not routinely review User Content except as necessary to provide the Services or as required by law.
ALERTS AND NOTIFICATIONS
Types of Notifications
As part of the Services, you may receive various types of messages from SuperManager AGI:
Push Messages:
- In-app notifications
- Browser push notifications
- Mobile app notifications (if using mobile app)
Email Notifications:
- Decision approval requests
- Risk alerts and escalations
- Daily standup summaries
- Weekly status reports
- System updates and maintenance notices
- Billing and payment notifications
SMS Messages (Optional):
- Critical risk alerts
- High-priority decision approvals
- Two-factor authentication codes
- Emergency system notifications
Integration Messages:
- Slack/Teams messages from AGI Managers
- Automated reports posted to channels
- @mentions from AGI bots
Notification Settings
You have control over notification settings and can:
- Opt in or out of non-essential notifications through your Account settings
- Configure which types of events trigger notifications
- Set quiet hours when notifications are suppressed
- Choose which channels (email, SMS, push, Slack) to receive notifications on
- Customize notification frequency (immediate, daily digest, weekly summary)
Exception: You cannot opt out of:
- Critical security alerts
- Billing and payment notifications
- Legal and compliance notices
- Service terms updates
- Data breach notifications (if applicable)
Third-Party Fees
Please be aware that third-party messaging fees may occur for SMS notifications depending on your wireless carrier's messaging plan. You are responsible for any such fees. You can disable SMS notifications at any time in your Account settings.
Consent to Communications
By agreeing to these Terms and providing your phone number, you authorize SuperManager AGI to:
- Send text messages to your phone using automated systems
- Make automated phone calls using pre-recorded messages or auto-dialers (for critical alerts only)
- Send push notifications to devices where you have installed our App
You can opt out of SMS and phone communications by:
- Replying STOP to any SMS message
- Not providing your phone number during registration
- Removing your phone number from your Account settings
You are not required to provide phone number consent as a condition of using the Services.
PROPRIETARY RIGHTS
SuperManager AGI Property
SuperManager AGI and its licensors own all right, title, and interest in and to the Services, including:
Software and Technology:
- AGI Manager algorithms and models
- Decision intelligence systems
- Business event detection and classification logic
- Language normalization engines
- Risk prediction models
- Resource optimization algorithms
- Meeting intelligence and transcription systems
Intellectual Property:
- All patents, copyrights, trademarks, trade secrets, and other intellectual property rights in the Services
- The "SuperManager AGI" name, logo, and branding
- All documentation, guides, and educational materials
- All APIs, SDKs, and developer tools
Data and Analytics:
- Aggregated, anonymized usage data and statistics
- Benchmarks and industry insights derived from anonymized data
- Improvements to AGI models based on aggregate learning
Restrictions
You agree not to:
- Copy, modify, or create derivative works of the Services
- Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or algorithms of AGI Managers
- Remove or modify any proprietary notices or labels
- Use the Services to build competitive products or services
- Access the Services to monitor availability, performance, or functionality for competitive purposes
Trademarks
"SuperManager AGI," "Oqlous," the SuperManager AGI logo, and other marks used on the Services are trademarks or registered trademarks of Oqlous AI Private Limited. You may not use these trademarks without our prior written permission.
THIRD-PARTY SERVICES AND INTEGRATIONS
Integrated Services
SuperManager AGI integrates with numerous third-party services to provide autonomous project management functionality. These integrations are governed by the third party's terms of service and privacy policies, including:
- Atlassian (Jira, Confluence)
- Google (Gmail, Drive, Calendar, Sheets)
- Microsoft (Outlook, Teams, Azure DevOps, OneDrive, SharePoint)
- Slack Technologies
- GitHub, GitLab, Bitbucket
- Zoom Video Communications
- Linear, Asana, Monday.com, ClickUp, Trello, Wrike
- And 40+ other enterprise tools
No Endorsement
SuperManager AGI does not endorse any third-party services and is not responsible for:
- The availability, accuracy, or reliability of third-party services
- The content, products, or services available through third-party integrations
- Third-party privacy practices or data handling
- Compliance of third-party services with applicable laws
Integration Terms
When you connect a third-party integration:
- You grant SuperManager AGI permission to access that service on your behalf
- You represent that you have authority to grant such access
- You agree to comply with the third party's terms of service
- You understand that SuperManager AGI's functionality may be limited if integrations fail or are unavailable
Changes to Integrations
Third-party services may:
- Change their APIs, which may affect SuperManager AGI functionality
- Discontinue services or features we rely on
- Impose rate limits or usage restrictions
- Change their pricing or terms
We will make reasonable efforts to maintain integrations, but we cannot guarantee continued support for all third-party services.
DISCLAIMERS AND WARRANTIES
"AS IS" and "AS AVAILABLE"
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement
- Warranties that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components
- Warranties regarding the accuracy, reliability, or completeness of AGI Manager decisions, predictions, or recommendations
- Warranties that AGI Managers will prevent project failures or achieve specific outcomes
No Guarantee of Results
SUPERMANAGER AGI DOES NOT WARRANT OR GUARANTEE THAT:
- Use of the Services will result in time savings, cost reductions, or improved project outcomes (except as specifically stated in our 90-Day Performance Guarantee)
- AGI Managers will detect all risks or predict all problems
- AGI Manager decisions will always be optimal or accurate
- Integrations with third-party services will function perfectly at all times
- The Services will meet your specific requirements or expectations
AGI Limitations
YOU ACKNOWLEDGE AND AGREE THAT:
- AGI Managers are sophisticated software systems but are not infallible
- Machine learning models may produce unexpected or incorrect results
- Natural language processing may misinterpret communications
- Predictions and recommendations are probabilistic, not certain
- Human oversight and judgment remain essential for critical decisions
Third-Party Services
SUPERMANAGER AGI IS NOT RESPONSIBLE FOR:
- The performance, availability, or functionality of integrated third-party services
- Data loss, corruption, or security breaches at third-party providers
- Changes to third-party APIs or services that affect SuperManager AGI functionality
- Compliance of third-party services with applicable laws
Internet and Technology Risks
YOU ACKNOWLEDGE THAT:
- No method of transmission over the Internet is 100% secure
- No data storage system is completely invulnerable to attack
- Software may contain bugs, errors, or vulnerabilities
- System failures, power outages, or network issues may occur
LIMITATION OF LIABILITY
Limitation of Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SUPERMANAGER AGI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY:
Indirect, Incidental, Special, Consequential, or Punitive Damages, Including:
- Lost profits, revenue, or business opportunities
- Lost data or cost of substitute services
- Loss of business reputation or goodwill
- Project failures or missed deadlines
- Decisions made based on AGI Manager recommendations
- Harm to relationships with clients, stakeholders, or team members
Direct Damages Exceeding:
- The amounts paid by you to SuperManager AGI in the 12 months preceding the event giving rise to liability, OR
- $10,000 USD, whichever is greater
Basis of Bargain
YOU ACKNOWLEDGE AND AGREE THAT:
- These limitations reflect the allocation of risk between the parties
- The fees charged for the Services would be substantially higher without these limitations
- These limitations apply regardless of the form of action (contract, tort, negligence, strict liability, or otherwise)
- These limitations apply even if SuperManager AGI has been advised of the possibility of such damages
Exceptions
Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
No Liability for Third-Party Actions
SUPERMANAGER AGI IS NOT LIABLE FOR:
- Actions or decisions made by your organization based on AGI Manager recommendations
- Disciplinary actions taken against employees based on decision traces or performance data
- Client relationships damaged by project delays or failures
- Third-party claims arising from your use of the Services
- Unauthorized access to your Account due to your failure to maintain credential security
INDEMNIFICATION
Your Indemnification Obligations
You agree to indemnify, defend, and hold harmless SuperManager AGI, its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, fees (including reasonable attorneys' fees and court costs) arising from or relating to:
(a) Your Use of the Services:
- Your violation of these Terms
- Your violation of any applicable laws or regulations
- Your violation of any rights of another party, including intellectual property rights, privacy rights, or contractual rights
(b) Your Content:
- Any User Content you provide through the Services
- Any claim that your User Content infringes or violates third-party rights
- Any confidential information you improperly share through the Services
(c) Your Integrations:
- Your connection of third-party services to SuperManager AGI
- Your grant of permissions to access integrated tools
- Data from integrated services processed by AGI Managers
(d) Your Organization's Use:
- Actions of your organization's Administrators or Account holders
- Organizational policies applied through the Admin Panel
- Use of decision traces or audit logs by your organization
(e) AGI Manager Actions:
- Decisions made by AGI Managers acting on your behalf with your authorization
- Actions taken by AGI Managers within permissions you granted
- Communications sent by AGI Managers on your behalf
Defense and Settlement
SuperManager AGI reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with SuperManager AGI in asserting any available defenses. You will not settle any claim that affects SuperManager AGI without our prior written consent.
DISPUTE RESOLUTION AND ARBITRATION
Informal Resolution
Before filing a claim, you agree to try to resolve the dispute informally by contacting us at legal@supermanageragi.com. We'll try to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 60 days of submission, you or SuperManager AGI may bring a formal proceeding.
Arbitration Agreement
YOU AND SUPERMANAGER AGI AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL BE SETTLED BY BINDING ARBITRATION, EXCEPT THAT EACH PARTY RETAINS THE RIGHT:
- To seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights
- To pursue claims in small claims court if they qualify
Arbitration Rules
The arbitration will be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be conducted in English in [jurisdiction]. Each party will be responsible for paying any AAA filing, administrative, and arbitrator fees in accordance with AAA rules, except that SuperManager AGI will pay for your reasonable filing, administrative, and arbitrator fees if your claim for damages does not exceed $10,000 and is non-frivolous.
Class Action Waiver
YOU AND SUPERMANAGER AGI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
Unless both you and SuperManager AGI agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.
Opt-Out
You may opt out of this arbitration agreement by sending written notice to legal@supermanageragi.com within 30 days of first registering your Account. Your notice must include your name, email address, and a clear statement that you wish to opt out of this arbitration agreement. If you opt out, you and SuperManager AGI agree to resolve disputes only in the courts described in Section 23 below.
GOVERNING LAW AND JURISDICTION
Governing Law
These Terms and any disputes arising out of or related to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.
Venue
If you opt out of the arbitration agreement in Section 22, or if the arbitration agreement is found to be unenforceable, you agree that any judicial proceeding will be brought in the state or federal courts located in New Castle County, Delaware, and you consent to the exclusive jurisdiction and venue of such courts.
International Use
If you access the Services from outside the United States, you are responsible for compliance with local laws and regulations, including data protection and privacy laws. Your information may be transferred to and processed in the United States, where privacy laws may differ from those in your country of residence.
TERM AND TERMINATION
Term
These Terms commence when you first access or use the Services and continue until terminated in accordance with this Section.
Termination by You
You may terminate your Account at any time by:
- Using the Account deletion feature in your Account settings
- Emailing us at support@supermanageragi.com with your termination request
Upon termination by you:
- Your Account will be deactivated within 24 hours
- Your access to the Services will be terminated immediately
- Your data will be retained for 30 days to allow for recovery if you change your mind
- After 30 days, your data will be permanently deleted (subject to legal retention requirements for decision traces and audit logs)
Termination by SuperManager AGI
We may terminate or suspend your Account immediately, without prior notice or liability, for any reason, including:
- Violation of these Terms
- Violation of our Acceptable Use Policy
- Non-payment of fees
- Fraudulent or illegal activity
- Abuse of the Services or AGI Managers
- Prolonged inactivity (free accounts inactive for 180+ days)
- At our discretion for any reason
Upon termination by SuperManager AGI:
- Your access to the Services will be terminated immediately
- You will lose access to all User Content and AGI-Generated Content
- You remain responsible for any fees accrued up to the termination date
- Paid subscriptions will not be refunded except as required by law
Effect of Termination
Upon termination of your Account:
You Lose Access To:
- All AGI Manager functionality
- All User Content stored in the Services
- All decision traces and audit logs (except as required for legal retention)
- All AGI-Generated Content and reports
- All integration connections
We May:
- Delete your Account and all associated data after required retention periods
- Preserve decision traces for legal compliance (up to 7 years)
- Retain aggregated, anonymized usage data for service improvement
You Remain Responsible For:
- All fees and charges incurred prior to termination
- Any obligations that survive termination (see Section 24.5)
Survival
The following provisions survive termination of these Terms:
- Sections 10 (Feedback), 12 (Content and Content Rights), 13 (Rights in Content Granted by SuperManager AGI), 17 (Proprietary Rights), 19 (Disclaimers and Warranties), 20 (Limitation of Liability), 21 (Indemnification), 22 (Dispute Resolution), 23 (Governing Law), and this Section 24.5 (Survival)
- Any other provisions that by their nature should survive termination
DATA EXPORT AND PORTABILITY
Right to Export
You have the right to export your data from SuperManager AGI at any time before or after termination. We provide export functionality for:
Exportable Data:
- Project data and business events (JSON, CSV formats)
- Decision traces and audit logs (PDF, JSON formats)
- Meeting minutes and transcripts (PDF, DOCX formats)
- Task and ticket information (CSV, JSON formats)
- Team and resource data (CSV format)
- Custom reports and dashboards (PDF format)
Export Process:
- Navigate to Account Settings > Data Export
- Select the data types and date ranges you want to export
- Click "Generate Export Package"
- Download the generated ZIP file containing all requested data
Timing
- Exports are typically generated within 24 hours for accounts under 10GB
- Larger accounts may take up to 7 days for complete export
- You will be notified via email when your export is ready
- Export packages are available for download for 30 days
Post-Termination Access
If your Account is terminated:
- You have 30 days to export your data before permanent deletion
- We will send you a reminder email at 15 days and 7 days before permanent deletion
- After 30 days, data export is no longer possible (except for legally retained decision traces)
MODIFICATIONS TO SERVICES
Right to Modify
SuperManager AGI reserves the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. This includes:
- Adding or removing AGI Manager features
- Changing pricing or subscription plans
- Modifying integration functionality
- Updating algorithms and models
- Discontinuing support for specific third-party integrations
Notice of Material Changes
For material changes that negatively affect your use of the Services:
- We will provide at least 30 days' notice via email
- You will have the option to export your data before changes take effect
- If you disagree with the changes, you may terminate your Account
No Liability
SuperManager AGI shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services, except as may be required by applicable law.
FORCE MAJEURE
SuperManager AGI shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to:
- Acts of God, natural disasters, epidemics, pandemics
- War, terrorism, civil unrest, government actions
- Internet service provider failures or delays
- Third-party service disruptions (AWS, integrated services)
- Cyberattacks, hacking attempts, DDoS attacks
- Power outages, telecommunications failures
- Labor disputes, strikes
During force majeure events, SuperManager AGI's obligations are suspended for the duration of the event. We will make reasonable efforts to resume normal operations as quickly as possible.
ENTIRE AGREEMENT
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and SuperManager AGI regarding the Services and supersede all prior agreements, understandings, and communications, whether written or oral, regarding the subject matter herein.
SEVERABILITY
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable while preserving the intent of the original provision.
WAIVER
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. SuperManager AGI's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
ASSIGNMENT
You may not assign or transfer these Terms or your Account to any third party without SuperManager AGI's prior written consent. SuperManager AGI may assign these Terms or any rights hereunder without your consent, including in connection with a merger, acquisition, reorganization, or sale of assets.
RELATIONSHIP OF PARTIES
Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and SuperManager AGI. You have no authority to bind SuperManager AGI or make commitments on our behalf.
EXPORT COMPLIANCE
You agree to comply with all applicable export and import control laws and regulations. You represent and warrant that:
- You are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country
- You are not listed on any U.S. Government list of prohibited or restricted parties
- You will not use the Services in violation of any export control laws
U.S. GOVERNMENT RIGHTS
If you are a U.S. Government entity, the Services are provided as "Commercial Items" as defined in Federal Acquisition Regulation (FAR) 2.101 and are licensed subject to these Terms.
CALIFORNIA RESIDENTS
Under California Civil Code Section 1789.3, California users are entitled to the following consumer rights notice:
